The following terms and conditions apply to all services offered by Digitalshadow.co.uk, by ordering such services you demonstrate that you are in agreement to the following terms and conditions.
1) Web Hosting Contact Particulars - Web Hosting can either be paid Monthly or Annually. When hosting is paid Monthly there is no Minimum term to the web hosting plan. When hosting is paid Annually, if the customer wishes to terminate the hosting agreement before the end of that billing year the customer will be refunded the remaining months less one months hosting cost.
2a) Fully Managed Web Design - Minimum term contract for any fully managed web design package is for 12 months. In the case of paying Monthly a standing order must be created. If a monthly payment is missed, we will attempt to contact the customer by all means we have on record before suspending the website. The content will not be deleted until there have been two concurrent missed payments. If paying annually the only reasons for suspending the website are excessive bandwidth usage
b) Fully Managed Web Design, Overage fees - We offer our fully managed web design prices to include web hosting that will be sufficient for the majority of our customers. We do this so that we can offer our services to the vast majority of customers at the lowest price possible. However, should your website require more than 500Mb of Disk Space and use more than 4000Mb of bandwidth a month, then we must request additional fees for your fully managed web design package. These costs are as follows;
- For every 100Mb (i.e. If your site uses between 501mb and 600mb, the overage fee will be £1) over the 500Mb allowance you use, a fee of £1 will be charged.
- For every 1000Mb of bandwidth over the 4000Mb allowance you use per month, a £2 fee will be charged.
These fees are charged monthly, so if your website only went over the bandwidth allowance on one month, you will not be charged again, unless your website exceeds the allowance again.
Regardless if you are paying monthly or annually, payment will be request via an invoice sent monthly via the method you choose on creation of your fully managed web design package.
c) Fully Managed Web Design, Ownership - To offer you Fully Managed Web Design at these heavily reduced prices we base our pricing scheme on the belief that the customer will be with our company for at least three years and during this time the cost of designing the website will be recovered. However, we only require a minimum contract period of 12 months, in this time the cost of designing the website has not been met and as such the website design shall remain property of Digital Shadow. However, you are free to leave at the end of the 12 month period without incurring any further fees, if you would like to take ownership of the website design, then a fee will be charged to bring the total cost up to the equivalent amount had you been our customer for 36 months. If you remain a paying customer with DigitalShadow for 36 months, then you will now own the website design and any changes made during those 36months regardless of the time the changes were made during those 36 months.
d) Fully Managed Web Design, Unlimted Updates - We offer unlimited updates through the term of the contract, be it for html based websites, E-Commerce or websites based on CMS. However, we must request a fee of £10 an hour if we have to do anymore than 10 hours of updates a month. The majority of customers require no more than 3 hours of updates per month, and as such we feel that the 10 hour allowance offers an excellent service at the best price possible.
e) Fully Managed Web Design, CMS Based Websites - Our single page CMS offer enables you to have a single page that you can update and modify yourself. For an additional fee of £1 per month or £11 per year we will add another page to your site for you to modify as you would like. However, you can not add your own pages to your site. If you would like complete control of your site, you must purchase our unlimited pages package.
3) Web Design - We offer web design that isn’t hosted on our servers, please enquire for exact pricing.
4) Domain Names - Domain Names are not included in the price. Domain names must be paid for in advance.
5) All material supplied by the client shall remain the property of the client and will be assumed free to use by the web designer without fear of breach of copyright.
6) All property provided by Digitalshadow such as, html coding, text, images etc will remain copyright Digitalshadow until payment is made in full whereupon they will become property of the client. See our terms and conditions on Fully Managed Web Design.
7) Digitalshadow reserves the right to change the price of all of their services at any time without notice. However if a commission has been discussed with the client beforehand it will not be changed and the quote will remain for 28 days.
8) If at any point during website development a client wishes to cancel, they will be invoiced an amount that Digitalshadow feels to be proportional and fair to the amount of work completed on the commission.
9) Digitalshaow will initially place the web site on a demonstration server so that the client may view and comment upon the project. Once the client has approved the project a final invoice will be presented. A site will be hosted once approval of the design and content is received however Digitalshadow reserve the right to remove the site at any time until the invoice is paid in full.
10) Although every effort is made to display the pages acceptably on the browsers currently available, we cannot accept responsibility for pages which don’t display properly on versions of browsers that are released after the project is completed.
11) At project acceptance we can provide an estimated completion date, however we cannot guarantee this date as the final completion date.
12) The acceptance of a quote shall be deemed as a contractual agreement between client and Digitalshadow.co.uk.
13) The client is ultimately responsible for checking the correctness of the site before they give Digitalshadow.co.uk permission to make the site publicly available.
14) All prices include 15% VAT.
15) Quotes are valid for 28 days.
16a) Customers wishing to cancel a hosting package must inform us before the monthly invoice date otherwise that months hosting payment will be required. If the customer is on an annual payment plan then the customer will receive back the remaining month(s) less one month’s fee.
b) Customers wishing to cancel a fully managed web design package within the initial 12 month period are not able to do so. However, after the initial 12 month fixed minimum contract, if the customer was paying monthy, then the contract becomes rolling on a monthly basis, and the customer can terminate the contract at any time. If the customer chooses to pay annually then no fees can be returned if the customer chooses to terminate the contract.
By agreeing to these terms and conditions your statutory rights are not affected.
